This is a legal agreement between yourself and NYCing.com Please read the Agreement carefully before registering for our services as by registering you will become bound by these terms and conditions from the time of registration and for as long as you are a member. If you DO NOT agree with the terms then you must not register for our services. These terms are subject to change at any time in which case you will, as a member with a valid e-mail address, be notified of such changes. You must be at least 18 years of age to use the NYCing.com service. By becoming a member of NYCing.com you agree that you are at least 18 years old. Either yourself or NYCing.com may terminate your membership at any time, for any reason, without explanation, effective upon sending written notice to the other party. NYCing.com reserves the right to suspend or terminate access to the NYCing.com service without notice or explanation, upon any breach of this agreement. Membership to the service is for personal use only and solely for use by the member. You may not assign or otherwise transfer your account to any other person or entity. As a member you agree that:
You will not post on the service, or transmit to other members or employees, any defamatory, inaccurate, abusive, obscene, profane, offensive, sexually oriented, threatening, harassing, racially offensive, illegal or any other material that infringes or violates another party's rights (including, but not limited to, intellectual property rights, and rights of privacy and publicity). You will use the service in a manner consistent with any and all applicable laws and regulations valid in the US. You will not publish in your profile any telephone numbers, street addresses, URLs or E-mail addresses other than where asked for such information. You will not include in your profile any offensive anatomical or sexual references or use sexually suggestive language and you will not post any photos containing nudity or personal information. NYCing.com reserves the right to remove any photo or profile that does not comply with these terms. You are not to use sexual suggestions when contacting other members. You will not engage in advertising to, or solicitation of, other members to buy or sell any products of services through the service. You will not transmit any chain letters or junk e-mail to other members. You are solely responsible for your interactions with other members. NYCing.com reserves the right, but has no obligation, to monitor and/or mediate disputes between you and other members. You will indemnity and hold harmless NYCing.com, its directors, employees, agents and third parties, for any losses, costs, liabilities and expenses (including reasonable solicitor's fees) relating to or arising from your use of the NYCing.com service, including any breach by you of the terms of this agreement. You will log on to the site at least every 45 days otherwise your account will be terminated. Anybody signing up who does not validate their account within 30 days of receiving their validation email will have their account terminated. You accept that NYCing.com will send email with site news and updates. This will be on an occasional basis and never purely for the sake of advertising. Opinions, advice, statements, offers or other information or content made available through NYCing.com are those of their respective authors and NYCing.com cannot and does not guarantee accuracy or usefulness of any information on the service. Under no circumstances will NYCing.com be held responsible for any loss or damage resulting from anyone's reliance on information or other content posted on NYCing.com or otherwise transmitted to its members. It's possible that other members or users (including unauthorized users) may post or transmit offensive and/or obscene materials on NYCing.com and you may therefore be involuntarily exposed to such offensive and/or obscene materials. It is also remotely possible for others to obtain personal information about you due to your use of the service and that the recipient may use such information to harass or injure you. NYCing.com is not responsible for the use of any personal information that you disclose on the service. Please be very careful when selecting the type of information that you post on the service or release to others. NYCing.com reserves the right, but has no obligation to monitor the materials posted in the public areas of the NYCing.com service. NYCing.com shall have the right to remove any such material that in its sole opinion violates, or is alleged to violate, the law or this agreement. Notwithstanding this right of NYCing.com, you remain solely responsible for the content of the materials you post in the public areas of the service and in your private e-mail messages. E-mails sent between you and other members of this service that are not readily accessible to the general public will be treated as private by NYCing.com to the extent required by applicable law. NYCing.com owns and retains other proprietary rights in the NYCing.com service. The service contains the copyrighted material, trademarks and other proprietary information of NYCing.com, its licensors and licensees. In addition, other members may post copyrighted information, which has copyright protection whether or not it is identified as copyrighted. Except for that information which is in the public domain or for which you have been given permission, you will not copy, modify, publish, transmit, distribute, perform, display or sell any such proprietary information. By posting information or content to any public area of NYCing.com, you automatically grant, and you represent and warrant that you the right to grant, to NYCing.com and other members an irrevocable, perpetual, non-exclusive, fully-paid, worldwide license to use, copy, perform, display and distribute such information and content and to prepare derivative works of, or incorporate into other works, such information and content, and to grant and authorize sub-licenses of the foregoing. NYCing.com will keep confidential all information supplied by you and shall use of disclose such information only for the purposes for which such information was collected, or as required by law. To resolve a complaint regarding the service, you should first contact NYCing.com customer support by e-mail at: admin@NYCing.com NYCing.com provides the service on an AS IS basis and grants no warranties of any kind, either expresses, implied, statutory, in communication with NYCing.com or its representatives, or otherwise with respect to the service. NYCing.com specifically disclaims any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. NYCing.com does not warrant that your use of the service will be secure, uninterrupted, always available, or error-free, or will meet your requirements, or that any defects in the service will be corrected. NYCing.com disclaims liability for, and no guarantee is made with respect to connectivity and availability. In no event will NYCing.com be liable to you for any incidental, consequential, or indirect damages (including, but not limited to, damages for loss of data, loss of programs, cost of procurement of substitute services or service interruptions) arising out of the use of or inability to use the service, even if NYCing.com or its agents or representatives know or have been advised of the possibility of such damages, or to any person other than you. Notwithstanding anything to the contrary contained herein, NYCing.com's liability to you for any cause whatsoever, and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to NYCing.com for the service during the term of membership. NYCing.com reserves the right but is not obliged to screen members registering with the service. As there is no obligation for NYCing.com to screen members, the company cannot be held liable for any damages, direct, indirect, incidental and/or consequential, arising out of the use of this service or meeting with other members of the service. Such damages include, without limitation, physical damages, bodily injury and/or emotional distress and discomfort. |
